General conditions


1. General


1.1. These General Terms and Conditions apply to all assignments to First Lawyers B.V. (“First Lawyers”). Persons who are authorised by First Lawyers to accept assignments on First Lawyers’ behalf are hereinafter referred to as “partners”.


1.2. Any assignment by a client is given to First Lawyers and not to any individual person associated with First Lawyers. This includes any assignment from a client that is to be performed by a specific person associated with First Lawyers.


1.3. Sections 7:404 and 7:407 subsection 2 of the Dutch Civil Code (Burgerlijk Wetboek) are herewith excluded. “Person associated with First Lawyers” is understood to mean any: employee, advisor, collaboration partners, subsidiary and shareholder of First Lawyers.          


1.4. Not only First Lawyers, but also each person associated with First Lawyers may claim application of these general conditions. The same applies to former affiliated persons and successors under universal title of succession of (former) affiliated persons.


1.5. Deviation from, and changes to these general conditions are only valid if expressly agreed upon in writing. The applicability of any of clients purchase or other conditions is explicitly rejected.


2. Basis tenders/offers


2.1. Tenders and offers of First Lawyers are based on information provided for by the client. The client warrants that he provides First Lawyers all the essential information that are necessary for the fulfillment of the assignment. First Lawyers will carry out the assignment to be performed to the best of his knowledge and ability.


3. The involvement of associated persons


3.1. The involvement or engagement of persons associated with First Lawyers shall only take place after consulting the client.


4. Employees


4.1. First Lawyers is allowed to change the composition of the team in consultation with the client if it considers it to be necessary for the performance of the assignment.

The change may not reduce the quality of the services to be provided or affect the continuity of the assignment. A change in the team may also occur at the request of the client in consultation with First Lawyers.


4.2. Client shall not during the execution of the assignment or within a year after completion of the assignment contract employees of First Lawyers, unless an agreement has been reached with First Lawyers.


5. Fees and costs


5.1. The fees to be charged by First Lawyers in connection with an assignment shall be agreed upon by First Lawyers and the client. The fees do not include an interest rate.


5.2. Costs advanced by First Lawyers on behalf of a client shall be charged separately.

Those costs include travel time, travel expenses and other job-related expenses. To cover general office costs (such as secretarial costs, shipping by regular mail, cost of telephone, fax and electronic communications, copying and document production) a fixed percentage shall be charged by First Lawyers. All costs are exclusive of VAT.


5.3. An interim change in wages and expenses, that makes it necessary for First Lawyers to adjust its fees, may be calculated.


6. Payment conditions


6.1. The fees and costs referred to in Article 5 which are not included in the monthly invoice, shall in principle be charged (in advance) to the client on a monthly basis. All invoices shall be paid in accordance with the payment terms stated on the invoice. In the absence of specific conditions, the customer shall pay within fourteen (14) days after the invoice date.

The date of the invoice shall be regarded as a deadline (fatale termijn).


6.2. Payment by the client must be made without set-off or suspension.


6.3. If the assignment is provided by more than one (1) client, all clients will be jointly and severally liable for the fulfillment of the obligations specified in this article.


7. Changement / modification of the assignment


7.1. The client accepts that the timing of the contract may be affected if the parties agree to change the approach, method or scope of the assignment during the execution. If changes results in more work, the additional assignment shall be confirmed explicitly by the client. If First Lawyers, on request of the client, has performed beyond the substance or scope of the agreed assignment, the additional assignment shall be charged to the client, according to the applicable rates of First Lawyers.


8. Intellectual Property


8.1. Documents, ideas, data, models, techniques, instruments, writings, including software products, including intellectual property, or other information used for the execution of the assignment remain the property of First Lawyers. Disclosure may only take place after consent of First Lawyers. In the event of early termination of the assignment, the above shall apply mutatis mutandis.


9. Confidentiality


9.1. Parties are deemed to keep all confidential information in connection with the assignment disclosed. Confidential information shall mean any material (including methods, equipment, programs), documents, ideas, data, and intellectual property rights or any other kind of information.  

Information is deemed to be confidential whenever a party declares it to be confidential.


10. Stichting Beheer Derdengelden


10.1. In the performance of assignments received from clients, First Lawyers and Stichting Beheer Derdengelden First Lawyers may receive monies from clients or third parties. First Lawyers and Stichting Beheer Derdengelden First Lawyers shall deposit such monies with a bank chosen by First Lawyers in consultation with interested parties. First Lawyers and Stichting Beheer Derdengelden First Lawyers shall not be liable if the bank chosen fails to fulfil its obligations.


11. Liability


11.1. If, in the course of an assignment, an event occurs that could lead to any liability on the part of First Lawyers, such liability shall be limited to the amount that is paid out in that specific case under the professional indemnity insurance of First Lawyers, increased by the amount of the applicable deductible (eigen risico).


11.2. If First Lawyers is liable for damages to persons or property, such liability shall be limited to the amount paid out in that specific case under the general professional corporate liability insurance (AVB) of First Lawyers, increased by the amount of the applicable deductible (eigen risico).


11.3. The existence of any right to compensation is always under the condition that the client reports in writing the damage immediately after its occurrence to First Lawyers.


11.4. Claims for damages shall expire after a period of one year from the day following the day on which the client became aware of the damages and of First Lawyers as the liable party.


11.5. If First Lawyers engages a person not associated with First Lawyers to perform an assignment from a client, First Lawyers shall not be liable vis-à-vis the client for any error or omission (fout) made by such person. By instructing First Lawyers, the client gives First Lawyers authority to accept on behalf of the client a limitation of liability stipulated by such person.


11.6. If First Lawyers is sued by third parties in connection with the execution of an assignment for a client, the client shall idemnify First Lawyers against any liability, costs, including the costs of defense and damages.


11.7. These General Terms and Conditions may be relied on by First Lawyers and each person associated with First Lawyers, including but not limited to any legal successor under universal title of any person associated with First Lawyers, any person formerly associated with First Lawyers, and any legal successor under universal title of a person formerly associated with First Lawyers.


12. Wwft


12.1. Pursuant to applicable legislation (including the Act on the Prevention of Money Laundering and Terrorist Financing (Wet ter voorkoming van witwassen en financieren van terrorisme), First Lawyers is obliged to verify the identity of its clients and to report certain unusual transactions to the authorities in certain circumstances. By instructing First Lawyers, clients confirm that they are aware of this obligation and give their permission, insofar as this is required.


13. Complaint Handling Regulation


13.1. The Complaint Handling Regulation of First Lawyers applies to all assignments to First Lawyers. The Complaint Handling Regulation is consistent with article 6.28 of the lawyer rules (Verordening op de advocatuur). 14. Governing law


14.1. Dutch law shall govern the legal relationship between First Lawyers and its clients.


First Lawyers is located in The Hague and registered with the Trade Register under no. 60077603.


These General Terms and Conditions are in both Dutch and English. In the event of any discrepancy between the Dutch and English versions, the Dutch version shall prevail.





1. Algemeen


1.1. Dit is de kantoorklachtenregeling van First Lawyers B.V. (hierna: First Lawyers), gevestigd aan de Frankenslag 137, 2582 HH Den Haag. Deze regeling is van toepassing op de afhandeling van klachten op iedere overeenkomst van opdracht tussen First Lawyers en de cliënt.


1.2. Deze Kantoorklachtenregeling maakt onverbrekelijk deel uit van de algemene voorwaarden van First Lawyers en is van toepassing op alle aanbiedingen, werkzaamheden, offertes en opdrachten aan First Lawyers.


2. Begripsbepalingen


2.1. In deze kantoorklachtenregeling wordt verstaan onder:

Klacht: iedere schriftelijke uiting van ongenoegen van of namens de cliënt jegens de advocaat of de onder diens verantwoordelijkheid werkzame personen over de totstandkoming en de uitvoering van een overeenkomst van opdracht, de kwaliteit van de dienstverlening of de hoogte van de declaratie, niet zijnde een klacht als bedoeld in paragraaf 4 van de Advocatenwet;

Klager: de cliënt of diens vertegenwoordiger die een klacht kenbaar maakt; 5.1

Klachtenfunctionaris: de advocaat die is belast met de afhandeling van de klacht.


3. Toepassingsbereik


3.1. Deze kantoorklachtenregeling is van toepassing op iedere overeenkomst van opdracht tussenFirst Lawyers en de cliënt.


3.2. Iedere advocaat van First Lawyers draagt zorg voor klachtafhandeling conform de kantoorklachtenregeling.


4. Doelstellingen


4.1. Deze kantoorklachtenregeling heeft tot doel:

- om een procedure vast te leggen om de oorzaken van klachten van cliënten vast te stellen;

- bestaande relaties door middel van goede klachtenbehandeling te behouden en te verbeteren;

- om een procedure van klachten van cliënten binnen een redelijke termijn op een constructieve wijze af te handelen;

- om medewerkers te trainen cliëntgericht te reageren op klachten;

- de kwaliteit van de dienstverlening met behulp van klachtbehandeling en klachtanalyse te verbeteren.


5. Informatie bij aanvang dienstverlening


5.1. Deze kantoorklachtenregeling is openbaar gemaakt. De advocaat wijst de cliënt voor het aangaan van de overeenkomst van opdracht erop dat het kantoor een kantoorklachtenregeling hanteert en dat deze van toepassing is op de dienstverlening. First Lawyers heeft in de overeenkomst van opdracht via de algemene voorwaarden opgenomen bij welke onafhankelijke partij of instantie een klacht die na behandeling niet is opgelost kan worden voorgelegd ter verkrijging van een bindende uitspraak en heeft dit bij de opdrachtbevestiging kenbaar gemaakt.


5.2. Klachten als bedoeld in artikel 2 van deze kantoorklachtenregeling die na behandeling niet zijn opgelost worden voorgelegd aan de Geschillencommissie Advocatuur.


6. Interne klachtprocedure


6.1. Indien een cliënt het kantoor benadert met een klacht, dan wordt de klacht doorgeleid naar mevrouw mr. dr. A.W. Duthler, die daarmee optreedt als klachtenfunctionaris.


6.2. De klachtenfunctionaris stelt degene over wie is geklaagd in kennis van het indienen van de klacht en stelt de klager en degene over wie is geklaagd in de gelegenheid een toelichting te geven op de klacht.


6.3. Degene over wie is geklaagd tracht samen met de cliënt tot een oplossing te komen al dan niet na tussenkomst van de klachtenfunctionaris.


6.4. De klachtenfunctionaris handelt de klacht af binnen vier weken na ontvangst van de klacht of doet met opgave van redenen mededeling aan de klager over afwijking van deze termijn met vermelding van de termijn waarbinnen wel een oordeel over de klacht wordt gegeven.


6.5. De klachtenfunctionaris stelt de klager en degene over wie is geklaagd schriftelijk op de hoogte van het oordeel over de gegrondheid van de klacht, al dan niet vergezeld van aanbevelingen.


6.6. Indien de klacht naar tevredenheid is afgehandeld, tekenen de klager, de klachtenfunctionaris en degene over wie is geklaagd het oordeel over de gegrondheid van de klacht.


7. Geheimhouding en kosteloze klachtbehandeling


7.1. De klachtenfunctionaris en degene over wie is geklaagd nemen bij de klacht-behandeling geheimhouding in acht.


7.2. De klager is geen vergoeding verschuldigd voor de kosten van de behandeling van de klacht.


8. Verantwoordelijkheden


8.1. De klachtenfunctionaris is verantwoordelijk voor de tijdige afhandeling van de klacht. Degene over wie is geklaagd houdt de klachten-functionaris op de hoogte over eventueel contacten een mogelijke oplossing.


8.2. De klachtenfunctionaris houdt de klager op de hoogte over de afhandeling van de klacht.


8.3. De klachtenfunctionaris houdt het klachtdossier bij.


9. Klachtregistratie


9.1. De klachtenfunctionaris registreert de klacht met daarbij het klachtonderwerp.


9.2. Een klacht kan in meerdere onderwerpen worden ingedeeld.


9.3. De klachtenfunctionaris brengt binnen het kantoor periodiek verslag uit over de afhandeling van de klachten en doet aanbevelingen ter voorkoming van nieuwe klachten, alsmede ter verbetering van procedures.


9.4. Minimaal eenmaal per jaar worden de verslagen en de aanbevelingen op het kantoor besproken en ter besluitvorming voorgelegd.


First Lawyers is gevestigd in ’s-Gravenhage en ingeschreven in het handelsregister onder nr. 60077603.


Van deze Kantoorklachtenregeling bestaat een Nederlandse en een Engelse versie. In het geval van enige discrepantie tussen de Nederlandse versie en de Engelse versie, prevaleert de Nederlandse versie.
